1. Definitions
- "Affiliate" means the individual or business enrolled in this program under Section 2.
- "Referred Client" means a JobGrid customer whose account is attributed to the Affiliate because the Affiliate's unique referral code was entered at the time of purchase.
- "Commission Period" means the 12 month period beginning on the Referred Client's first payment date.
2. Enrollment and Acceptance
Affiliate enrolls through the sign up process JobGrid provides and must complete an IRS Form W9 before receiving any payment under this Agreement. By enrolling and clicking to accept, Affiliate agrees to this Agreement.
3. Commission
JobGrid will pay Affiliate 25% of all amounts JobGrid actually receives from a Referred Client during the Commission Period, after any discounts and excluding taxes, across any plan, number of users, or billing frequency the Referred Client uses during that period. If the Referred Client pays for an annual plan during the Commission Period, commission is calculated on the full annual payment received. Commission is calculated on amounts received, not amounts invoiced.
4. Referred Client Discount
A Referred Client on a monthly plan receives 25% off its first month. A Referred Client on an annual plan receives a fixed amount off its first annual invoice equal to 25% of one month's price: $37.25 for Starter, $74.75 for Growth, or $124.75 for Pro. Only one promotional or referral code may be applied per account.
5. Payment
Each commission becomes payable 30 days after JobGrid receives the corresponding payment from the Referred Client, but only if that payment has not been refunded, reversed, disputed, or charged back, and has not failed, during those 30 days. JobGrid will pay payable commissions by check or Zelle. With each payment, and at any time on request to support@jobgrid.app, JobGrid will send Affiliate a statement by email showing referral attribution, payment amounts received, commission owed, and payment dates.
6. Clawback
If a Referred Client's payment is refunded, reversed, disputed, or charged back after the related commission has been paid, the commission will be deducted from Affiliate's future commissions or, if none are due, invoiced back to Affiliate, and Affiliate will repay it within 30 days of the invoice.
7. Termination
Either party may terminate this Agreement or Affiliate's participation at any time, with or without cause. Upon termination, Affiliate remains entitled to commissions on payments JobGrid received before the termination effective date, subject to Sections 5 and 6. Affiliate is not entitled to commission on any payment JobGrid receives after the termination effective date, even if the Referred Client is still within its Commission Period.
8. No Self Referral
Affiliate may not enroll themselves, a business they own or control, or any account in which they hold a financial interest, as a Referred Client.
9. Tax Reporting
Affiliate must submit a completed IRS Form W9 before receiving any payment. JobGrid will issue an IRS Form 1099 to Affiliate when required by law.
10. Required Disclosure and Marketing Conduct
Affiliate must clearly and conspicuously disclose their compensated relationship with JobGrid in any communication, post, or conversation promoting JobGrid to a prospective Referred Client, consistent with the FTC's Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 C.F.R. Part 255). This disclosure must be made at the time of the referral, not after. Affiliate is solely responsible for complying with all laws that apply to its promotion of JobGrid, including the CAN SPAM Act and the Telephone Consumer Protection Act, and will not make any claim about JobGrid's features, pricing, or results that JobGrid has not published.
11. Confidentiality
Affiliate agrees to keep confidential any information JobGrid provides about Referred Clients, including in statements, such as Referred Client identities, payment amounts, and payment timing, and will not disclose or use this information for any purpose other than participating in this program.
12. Non Disparagement
Affiliate agrees not to make any false or defamatory statement about JobGrid or its Service. Nothing in this section restricts Affiliate's right to share honest feedback or complaints about the program through JobGrid's official channels.
13. Independent Contractor Status
Affiliate is an independent contractor, not an employee, agent, or partner of JobGrid. This Agreement does not create a joint venture or partnership.
14. Program Changes
JobGrid may change the commission rate, Commission Period length, or other program terms at any time. Any change applies only to Referred Clients attributed to Affiliate after the change takes effect. The rate and terms in effect when a Referred Client is attributed continue to apply to that Referred Client for the remainder of its Commission Period.
15. General Provisions
Force Majeure. Neither party is liable for delay or failure to perform due to causes beyond its reasonable control.
Assignment. Affiliate may not assign this Agreement without JobGrid's consent. JobGrid may assign this Agreement in connection with a merger, acquisition, or sale of assets.
Severability. If any provision of this Agreement is found unenforceable, the remaining provisions will remain in effect.
Notice. JobGrid may provide notice to Affiliate via the email associated with their portal account. Affiliate may provide notice to JobGrid at support@jobgrid.app.
16. Governing Law and Dispute Resolution
This Agreement is governed by the laws of the State of California. Any dispute will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, conducted in Los Angeles County, California.
